Terms of Service

Before this goes live: every highlighted field needs filling in, and the whole document needs review by a lawyer qualified in Indian contract and IT law. It is a careful draft, not legal advice, and it has not been reviewed by anybody qualified to approve it.

1. Who you are contracting with

These terms govern your use of Xwits Healthcare and Xwits Startups (each, the Service), operated by Xwits Developers Private Limited, a company incorporated in India, CIN CIN, with its registered office at full registered address, Ahmedabad, Gujarat PIN (Xwits, we, us).

By creating an account or using the Service you agree to these terms. If you are agreeing on behalf of an organisation, you confirm you are authorised to bind it, and “you” means that organisation.

You own your data. We claim no ownership of the records you put into the Service. You grant us only the licence needed to host, process, back up and display it in order to provide the Service to you.

Where the Service processes personal data on your behalf — patient records, employee records, customer contacts — you are the Data Fiduciary and we act as a Data Processor under the Digital Personal Data Protection Act, 2023. Our handling of it is described in the Privacy Policy, which forms part of these terms.

We do not sell your data, and we do not use it to train models for anybody else.

5. Fees, taxes and payment

Cancellation and refunds are covered by the Refunds & Cancellation Policy.

6. Availability, and what we do not promise

We work to keep the Service available and will give reasonable notice of planned maintenance. We do not promise uninterrupted or error-free operation, and we are not liable for downtime caused by things outside our reasonable control, including your internet connection, your devices, or a third party you have connected such as a payment, messaging or code-hosting provider.

A written service level agreement applies only if we have signed one with you.

7. Clinical and professional judgement

This section applies to Xwits Healthcare. The Service supports clinical work; it does not practise medicine. Allergy and interaction checks, differential suggestions, risk scores and similar features are decision support. A registered practitioner remains responsible for every clinical decision, and must not rely on the Service in place of their own judgement. We are not liable for clinical outcomes.

Similarly, the Service produces tax documents and statutory records from what you enter. It is not a substitute for your accountant, your company secretary or your lawyer.

8. Automation

Parts of the Service can act on your behalf. Actions that cannot be undone — messages to people outside your organisation, and movements of money — require a person to approve them, at least the first time an action of that kind occurs. You are responsible for the decisions your users approve.

9. Third-party services

You may connect third-party services. Their terms govern your use of them, we do not control them, and we are not responsible for their acts, omissions or availability. Credentials you provide are used only to operate the connection you asked for.

10. Intellectual property

The Service, its software and its documentation remain ours. You get a non-exclusive, non-transferable right to use it for your business for as long as your subscription is current. Feedback you send us may be used freely, without obligation to you.

11. Confidentiality

Each of us may learn confidential information about the other. Each will protect the other's with at least reasonable care and use it only to perform under these terms. This does not apply to information that is public, already known, independently developed, or required to be disclosed by law.

To the extent permitted by law, neither party is liable for indirect, incidental or consequential loss, or for loss of profit, revenue, goodwill or anticipated savings. Our total liability arising out of these terms in any twelve-month period is limited to the fees you paid us in the twelve months before the claim.

Nothing here limits liability for fraud, for death or personal injury caused by negligence, or for anything else that cannot lawfully be limited.

14. Changes to these terms

We may update these terms. For material changes we will give at least N days' notice by email or in the Service. Continuing to use it after the change takes effect means you accept the updated terms.

15. Governing law and disputes

These terms are governed by the laws of India. The courts at Ahmedabad, Gujarat have exclusive jurisdiction. We would both rather talk first: write to hello@xwits.dev and we will try to resolve it.
